Time to sell your business

You want an optimal outcome, a smooth & professional process with someone who is 100% in your corner. Someone with the experience and qualifications that you know will matter.

Time to sell your business

You’ve owned your business for a while, had some ups and a few downs but you wouldn’t change it for the world. Some of your staff and customers may have been with you from the very beginning, others have joined you later in the journey.

Your heart doesn’t want to sell but your head (and the wise people around you) are telling you to get out – on your terms. To enjoy life and your health. You want to walk away with your head held high, and you want to see your business go to a good home. Your legacy. You want the Baton to be passed to a safe pair of hands. It’s time for the next stage.

Who do you turn to?

Other services

Exit planning and sales preparation. Maybe you’re not ready to sell now. What can you do to increase value of your business in preparation for sale? Improve profitability, rationalise your balance sheet, systemise your business, look at ‘governance’ options? There are numerous ways to improve the prospects of a successful divestment.

Acquisitions – we also act on the ‘buy side’ on behalf of acquirers to seek targets, source legal and accounting advisors, arrange funding options and provide transaction support.

NFP Merger and amalgamations. The NFP and Charitable Sector is under huge pressure to consolidate, to improve outcomes and to be more efficient. Baton Advisory bring commercial transaction expertise to the NFP sector.

Advisory Board. More affordable, flexible and entrepreneurial than Governance Boards, an Advisory Board can be a great way to gain external input, especially when preparing for sale.

It’s time to pass on the Baton and enjoy the next stage of your life.

Our processes

Once we have explained what we do, answered your questions and you are ready, we enter into an Engagement Agreement. This details the process, estimated time frames and fees involved.

We then prepare the Information Memorandum (IM) that documents your business, its history, market, management, financials and other information that a purchaser will need to make an initial assessment.

Your business is then Marketed to strategic targets in and around your industry, to Private Equity firms, high net worth individuals, accountants, lawyers and migration agents. In Australia and beyond. Confidentially. The release of your IM is only to parties you personally approve.

Negotiation. Upon receipt of expressions of interest, we compare and evaluate competing offers. Negotiation of price and key terms. Working with your accountants and lawyers to obtain the best result.

Contract preparation and due diligence. At this stage, the purchasers and their advisors verify the information that has been provided and the lawyers negotiate the legal aspects of the contract. We house a virtual data room that securely stores all the sensitive documents that the purchaser and their advisors will want to access to undertake due diligence.

Settlement. The final step. It’s time to pass on the Baton and enjoy the next stage of your life.
